1. Introduction These Terms and
Conditions ("Agreement") govern the relationship between you (the
"Seller") and Coaxlure ("Platform") with respect to your
use of the Coaxlure Partner App ("App") for billing and invoicing,
product listings, and other related services. By registering as a seller on the
App, you agree to comply with these terms.
2. Seller Registration
- To become a seller on the Coaxlure Partner App, you must complete
the registration process by providing accurate business and contact
details.
- Coaxlure reserves the right to approve or reject any seller
registration at its discretion.
3. Seller Responsibilities
- Product Listings: Sellers are
responsible for the accuracy of product descriptions, pricing, inventory,
and any other information provided on the platform.
- Invoice Creation: Sellers can
use the App to generate and send invoices to customers for each
transaction. Invoices must be accurate and reflect the transaction
details, including taxes and shipping costs.
- Timely Delivery: Sellers are responsible for fulfilling
orders promptly and providing tracking information to customers.
- Payment Handling: All payments
will be processed through Coaxlure's supported payment gateways. Sellers
are responsible for ensuring they have the correct banking or payment
details linked to their account for timely payouts.
4. Billing and Invoicing
- Invoice Generation: Sellers
agree to generate invoices for all completed transactions, following the
invoice generation guidelines provided by Coaxlure. Invoices should
include details such as customer information, products purchased, pricing,
taxes, shipping fees, and payment status.
- Invoice Modifications: Sellers can
modify invoices before final submission. Any modifications made after the
invoice has been sent must be documented and communicated to the customer.
- Payment Terms: Sellers will be paid directly for their
transactions, minus applicable fees, commissions, and taxes. Payments are
processed T+2 Days.
- Tax Compliance: Sellers must ensure that their invoices
comply with local tax laws, including applicable GST/VAT or other duties.
Coaxlure is not responsible for tax-related issues arising from incorrect
invoicing.
5. Cashback and Commissions
- Transaction Cashback: Sellers
agree to provide cashback for customer transactions, which will be tracked
by Coaxlure. The cashback amount will be deducted from the seller’s
payout, as outlined in the seller agreement.
- Digital Gold Investment: Sellers will
receive cashback eligible for investment in digital gold through the
Coaxlure platform. This cashback amount will be separated and shown in the
seller’s account.
6. Payment Terms and Fees
- Platform Fee: Coaxlure charges a platform fee on all
transactions made through the platform. The rate will be clearly
communicated to sellers during the registration process.
- Payment Transfer Fee: Payment transfer
fee will be applicable and will be deducted from the seller’s payout.
7. Data Protection and Confidentiality
- Data Security: Sellers agree to protect the confidentiality
of customer and business data collected through the App. All data should
be handled in compliance with applicable data protection laws, including
GDPR if applicable.
- Access to Data: Coaxlure will provide sellers access to
their sales data and related transactions through the App. Sellers are
responsible for managing and safeguarding this data.
8. Seller Account Termination
- Termination by Seller: Sellers may
terminate their account at any time by notifying Coaxlure, provided they
fulfill any pending obligations, such as fulfilling orders and paying
outstanding fees.
- Termination by Coaxlure: Coaxlure
reserves the right to suspend or terminate a seller’s account for any violation
of these Terms or any fraudulent, illegal, or unethical activities.
9. Indemnity
- Sellers agree to indemnify and hold Coaxlure harmless from any
claims, losses, or damages arising from the seller’s breach of these
Terms, including any third-party claims relating to their products or
services.
10. Liability
- Coaxlure is not liable for any loss or damage caused by the
seller’s products, services, or actions. Sellers are solely responsible
for ensuring the quality and legality of their offerings.
11. Governing Law
- This Agreement will be governed by and construed in accordance with
the laws of Mumbai. Any disputes arising under this Agreement will be
subject to the jurisdiction of the courts in Mumbai.
